Terms of Use

These terms govern your use of Cessio — the RFQ desk on this site, its API, its MCP server and its documentation (together, “the desk”). By creating an account or sending a request to the API you accept them. If you do not accept them, do not use the desk.

What Cessio is — and is not

Cessio coordinates a private auction. You ask the makers you select for a price; they answer with signed on-ledger commitments; if you accept one, the swap settles atomically on Canton Network — both legs or neither.

The desk is not a broker, dealer, exchange, bank, custodian or investment adviser. It does not hold your assets, does not take the other side of your trade, does not quote prices of its own, and gives no investment, tax or legal advice. Prices come from makers, and a maker is an independent participant, not our agent. Whether a trade is right for you is your judgment alone.

Eligibility

You must be at least 18 and legally able to enter into these terms. You must not be subject to sanctions, nor resident in a jurisdiction where using the desk is prohibited. Complying with the law that applies to you — including licensing, reporting and tax obligations arising from your trades — is your responsibility.

Your account and your keys

Your account is a passkey plus a Canton party key generated in your browser. We hold only an encrypted copy of that key and cannot decrypt it. That means:

  • Keep your passkey and your backup key safe. Together they are the only way to reach your party.
  • Lose both and the account is unrecoverable — by you and by us. We cannot reset, restore or move your key.
  • Anything signed with your key, or sent with your API key, counts as done by you. Keep API keys secret and rotate them if one leaks.

Trading

  • A quote is the maker’s offer, binding on them until it expires. Accepting it starts settlement; expiry ends it.
  • Settlement is atomic: it either completes both legs or changes nothing. A failed settlement is not a partial trade, though it may still cost you time and any network fees incurred.
  • You are responsible for the terms you send and accept — instrument, side, size, price, deadline. Once a trade settles, the ledger is final: there is no cancellation, reversal or chargeback.
  • You must hold the assets you offer; an RFQ or a settlement may be refused or fail if you do not.
  • Makers, instruments, prices and liquidity are never guaranteed. An RFQ may draw no quotes at all.

Fees

Takers pay no desk fee. Makers pay a fee on settled trades, tiered by the size of the trade and taken inside the same atomic settlement. Current numbers are published on this site and in the documentation; we may change them, and a change applies to trades settled after it is published. Fees charged by Canton Network or by an asset’s registry are separate and are yours to bear.

Acceptable use

Do not use the desk to:

  • break the law, or trade assets you obtained unlawfully;
  • manipulate the market — wash trading, spoofing, quote stuffing and the like;
  • try to learn the trades, quotes or identities of other participants;
  • interfere with the service, its participant node or other users, or attack the infrastructure;
  • circumvent rate limits, authentication or fees;
  • resell or rebrand the service without our permission.

Automation is welcome — bots and AI agents are first-class users here — as long as it respects the published limits and the rules above.

Early-stage software

Cessio is new software under active development, and parts of it are documented as incomplete. Deployments may run on Canton test networks, where assets carry no monetary value and where the network operator may reset state without notice. We may change, suspend or discontinue any part of the desk, and we give no uptime, latency or data-preservation guarantee.

Your party key is yours, but your party is currently hosted on the participant node we operate. Do not treat the desk as production custody infrastructure, and do not commit funds you cannot afford to lose.

No warranty

The desk is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, timely, secure or error-free.

Limitation of liability

To the maximum extent permitted by law, we are not liable for lost profits or trading opportunities, for lost or inaccessible keys or assets, for price movements, for the acts or omissions of makers, takers or third-party infrastructure, or for any indirect, incidental, special, consequential or punitive damages. Nothing here limits liability that cannot be limited by law.

Indemnity

You will hold us harmless against claims, losses and costs arising from your use of the desk, from your trades, from your breach of these terms, or from your breach of the law.

Suspension and termination

We may suspend or close an account or an API key that breaks these terms, endangers the service or its users, or must be suspended for us to comply with the law. You may stop using the desk at any time and ask us to delete your account — see the Privacy Policy. Records already written to the ledger stay there.

Third parties

Canton Network, its validators and synchronizers, asset registries, wallets and any external tools you use with the desk are outside our control, and their own terms apply to them.

Changes to these terms

We may update these terms; the date at the top changes with them, and material changes are announced. Continuing to use the desk after an update means you accept the new version.

Write to hello@cessio.cc first — almost everything is settled faster that way than through a formal process. Technical problems go to support@cessio.cc. Nothing in these terms takes away rights your local law gives you and does not allow you to waive.
